Arbitration Procedures

All disputes that are not settled through negotiation or mediation shall be finally resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), except as modified herein. The arbitration shall be conducted as follows:

  • Arbitrator Selection: The parties shall each select one arbitrator, and the two arbitrators shall jointly appoint a third arbitrator who shall act as the presiding arbitrator. If the parties cannot agree on a presiding arbitrator within fifteen (15) days of the appointment of the two arbitrators, the AAA shall appoint the third arbitrator.
  • Location and Language: The arbitration hearing shall take place in New York, NY, and shall be conducted in English.
  • Procedural Rules: The arbitrator(s) shall apply United States substantive law, may order interim measures, and shall issue a written award that includes findings of fact and conclusions of law.
  • Finality and Enforcement: The arbitrator’s award shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction.
  • Costs and Fees: Each party shall bear its own attorneys’ fees and costs, except that the arbitrator may award reasonable expenses, including filing and hearing fees, to the prevailing party.
